The announcement of the press

The 4th of February 2010 by the demand of minor shareholder OJSC "Turboatom" LLC KUA "Svarog Esset Management" (owns more than 10% of assessed fund) management of the enterprise accepted to hold stockholders' meeting.

There are 14 questions on the agenda, including the report of management about the financial – economic results of "Turboatom’s" activity at 2009, change of the Supervisory Board structure, management, check-up committee and General Director and also distribution of profit and payment to the shareholders of dividends, including government part.

The management of OJSC "Turboatom" has the information that "Svarog Esset Management" is preparing for holding moves, directing to the breakdown of common shareholders’ meeting and forced change of the enterprise management. Such actions can be dangerous for shareholders and the staff of the enterprise, cast doubt on legitimacy of common meeting, can destabilize the work of OJSC "Turboatom".

Since 2007 this commercial structure has been trying by raider methods to settle control under OJSC "Turboatom". During this time there were attempts of forced seizure of power of the plant, the enterprise takes part in tens absurd cases, which were initiated by raiders. All this follows the scale informed discredit of the staff and the management of OJSC "Turboatom" in the press.

In 2008 LLC KUA "Svarog Esset Management" initiated the holding of more than 30 shareholders’ meetings in different towns of Ukraine with the same agenda about changing the management of the plant. In 2009 OJSC "Turboatom" gets from the minor shareholder 11 demand of holding meetings. The management was hold three meetings. At this time from the company "Svarog Esset Management" OJSC "Turboatom" got more eight demands about holding every week special shareholders’ meetings.

Also there were demands of cancelling two meetings, accepted on the 4^th of February and on the 25^th of March 2009.

For holding the shareholders’ meetings in calm work situation, the management of OJSC "Turboatom" has to take unprecedented measures of security: to reinforce the security of the enterprise, to organize the presence of law machinery representatives and set metal detectors in the control post of the plant. 

Besides, the management, confirming the reputation of OJSC "Turboatom" as the most inform – open enterprise of the region, invites to the meeting the representatives of region and Ukrainian press. The management of OJSC "Turboatom" thinks that the situation round the enterprise was beyond corporative conflict long time ago and threatened the power secure of Ukraine and that’s why paying public attention to the situation at OJSC "Turboatom" will promote constructive decision of the conflict and continuation of stable and successful work of the enterprise.
